What about if you’re buying something that’s worth £100 but of the £100 that you pay over, £80 goes to the current owner and £20 goes to the previous owner?

Can't say it's ever happened to me.

I don't think that's how it's being sold on either. If rumours are true ED wants more than 20% of what Ken gets

As long you get what you want and you deem it fair value then who gives a shit

The people who have pulled out of talks to buy us it would seem

The terms of projected payments to ED are major a stumbling block in anyone willing to invest.

15M quid on promotion? Feck all.

The people who have pulled out of talks to buy us it would seem

Nobody has pulled out of talks. It takes a long time to sell a club and we’ve just spent 2 years making us sellable. Idea it would happen in a few weeks is nonsense. The only serious investor last season before Ken cut off talks had his money seized.

The people with the money to invest aren’t lifelong BWFC fans and will take a lot of persuading to buy any football club. Doesn’t happen quickly,

15M quid on promotion? Feck all.

There’s a lot more to it than that.

Nobody may have ‘pulled out’ per se, but folk have been dertered.

That’s the point though, it comes out of what Ken gets it’s not additional. All businesses (the vast majority) are sold cash and debt free, whatever the club/Ken owes ED in the event of a sale is up to Ken to settle as part of the sale proceeds.

Say the club is worth £20m but there’s £5m of debts owed to ED when it’s sold, the buyer will still spend £20m, but Ken would only receive £15m, with EDs debt being settled with the other £5m, the new owner would not have to pay £25m.

The only way these payments to ED are going to put off a buyer is if Ken tries to recoup them as part of the sale - ie the club is worth £20m but he will only accept £25m for it (because he wants £20m and he knows £5m of the sale is going to ED)

Edit - I’ve just seen Gonzo’s point about future payments on promotion. I’d be surprised if this passed from one ownership to the next, I’d have thought there would either be a payment on sale of the club, or payment on promotion and not both. I don’t know what the actual deal is though so have no idea if this is true - if for some reason the promotion payment to ED still stayed in then I would still expect it to be reflected in the value of the club when the buyer does the deal (ie reduce the price), if that then didn’t happen and they for some reason had to take the cost of future payment on themselves then that would be the only way I could see it affecting a deal, and it’s highly unlikely.

Buy the club put the money in to get us promoted then pay ED a big chunk of the real reason you would buy us. What’s not to like?

You are calling Ken and ED liars? Because both have outright stated that is the only stake ED has in the club and that itself may well be waived for suitable investment.

Because ED left that in as a success payment to protect himself against the sale of the club for £1.

Had he left it in as debt it would have to be paid off as part of any future takeover increasing the up front cost and risk of any deal.

If you go up £15M is small fry. If you added £15M onto the upfront deal with the other debts it makes the whole thing even less attractive.

Can’t begrudge ED wanting something back beyond the £1 he got for all his investment.

Exactly. Would you buy anything then be told you have to pay the previous owner as well as the current owner.

That wouldn't sit well with anyone I'd of thought

It's just another debt that the business carries

Just like Prescott, warbie and blumarble

You're not paying 2 owners

You pay one and he pays his debts inc the previous owner...even then it's a moot point whether he takes it

You're getting too hung up on who it's owed to

As I've told you plenty times :)

Haha If someone is willing to pay ED then happy days. I suspect not

He hasnt called anyone a liar has he?

Why do you keep banding 15mill about. It's a percentage of tv income he wants.

He’s left a 15M success payment in the deal. He waived the first payment of it a while back. It kicks in now if we get promoted. 15M is nothing in the circumstances. Would you rather he’d left that in as a debt owed to him in a conventional sense?

Given we're never going up, and no one with the money to change that would be stupid enough to buy us, this seems a rather moot point

success payment. Sums it all up really. I think ED will be around for years to come so as maarsh says it's a moot point

Sod getting promoted and getting battered every week.

Play off campaigns are the future.

He invested a lot of money. Certainly in excess of 50M. More than any man in the history of the club. In fact more than everyone else added up.

He then sold the club for £1 to save it.

Are you really saying that under those circumstances it wasn’t reasonable for him to have a clause in that would give him a small chunk back if the club that someone got for £1 was turned round?

His other option was to ask for 15M up front or leave that in as hard debt.

In the circumstances I think we’ve ended up better off in this scenario.

ED made huge mistakes or allowed others to make them for him. But still he put a load in and has thus far got nothing back. And waived payments owed to him. I’m no fan of his, but it’s clear that under the circumstances he’s doing us favours.

I don’t see it like you do. I don’t think he’s protected the club at all. He choose KA/Holdsworth offer as they were the only ones mental enough to see his terms (not a knock on ken as I think most agree he has done a good job)

I think it’s fair to say there is a few ways people can view Ed and what’s gone.

Do I think a clean slate would be good? Yes

Have I called them liars?

I’m just telling you I’ve heard that ED’s terms are a stumbling block for potential bidders.

Do you never have a day off ffs

ED clearly wants his legacy / stranglehold (however you want to view it) to live on in my eyes

It’s ok saying if we go up a £15m success payment is peanuts. On the flip side of that why be so insistent you want that money considering you’ve already written off circa £180m? It’s peanuts what he’s asking for in relation to that. Just seems unnecessary

When he give up ownership he should’ve let go of the whole lot. It’s easy for me to say that as I’m not owed £15m and written off over 10 times that but it does beg the question why he’s holding the club to the final 1% of his link to it when he’s cut ties with the other 99%...

It’s like breaking up with a bird dropping all her gear off at her mums but keeping one of her shoes

Just makes the progress and stability of the club more difficult moving forward

Edited by barrycowdrill

he sold a hell of a lot of assets for £1 (ground, hotel, lostock etc)

Granted we had debts, but the balance sheet wasn’t as shabby as has been made out when you think of the assets

If it was then we wouldn’t have had anything to secure loans against and would have gone bust without paying HMRC

ED is just after some form of future payment against the assets he sold for £1

Would he have been better off selling the club for £1 without the ground then rent it back to us for free each season until we get back in the PL?

But they were only worth a quid as that’s all someone was willing to pay at the time. Lots of debts made them assets worth what they were

To answer your question birch who would take the club on not owning the assets at 1m loss each month?

Because he never had / lost £180million it’s one big fuck off tax fiddle.£15 million would be cold hard cash
