I think I'm done with this site. I came here for the fun, banter and gossip, wanted too see some FV news as this has been quite active, but all I see now in EVERY THREAD is arguing, spiteful comments and hatred. Life's too short to be twatty to each other.

Loads of people laugh and repost meltdowns from our rivals pages, they must fuckin feast for years on some of the shit posted in here.

I wish everyone all the best of health and happiness and up the wanderers!

We all have our pressure points. Weirdly for me the arguments while a bit tedious, I can live with.

Mine was when the majority on here arse licked Ken Anderson and I also don’t like a lot of the pink stuff on here. Just scroll past now though 😂

Nice to feel needed for once on here...

(if you are going to start to read all I've posted below, it is important that you stick it out to the last line - if you can't be arsed go straight to the last line BUT you won't understand how I've arrived at that premise).

I can't decipher anything until the documents are made available.

I did hope/expect/wish/predict that there would be equity put into the business before the end of this month...

I estimate that there is probably around £5m equity left in the club by the end of this season (30th June 2026) so it would make perfect sense to me if players are signed before that date, so any transfer fees paid won't be included in next seasons Squad Cost rules.

It would also help if FV can put as much equity into the club before that date also so as to allow themselves a bit of financial wriggle room for future seasons in advance of the £15m equity per season limit that comes in.

The fact that £18m seems to have been invested into FV suggests that the other documents are not in themselves overly concerning.

My background and training is in the public the public sector, so I'm having to apply my knowledge accordingly to private sector finical matters.

A quick read around would seem to me to suggest that FV are clearing the decks of what has gone on before regarding it's share equity to effectively start from scratch with mow being in the Championship.

If you can excuse me for using AI, this is what it says about a 'Reduction in reduced Share Capital'

In the UK, a reduction of share capital is a legal process that allows a company to decrease its issued share capital, share premium account, or other capital reserves. This is typically done to return surplus funds to shareholders, cancel unpaid share capital, or create distributable reserves to pay dividends

Under the Companies Act 2006, companies can reduce their share capital through two main routes:

  • Private Company Solvency Statement: Private companies can reduce capital by passing a special resolution backed by a directors' solvency statement, confirming the company can pay its debts for the next 12 months.

That would also explain the Solvency Statement

AI Overview

A solvency statement is a legal document signed by a company's directors confirming they believe the business can pay its debts and meet its financial obligations for the foreseeable future

The Directors Statement would therefore, no doubt, be explaining the above.

In simple words I think all this means that the share equity that is currently remaining in the club (I estimate circa £5m) is being refunded to the existing shareholders and a new £18m of share capital is taking it's place.

If I am correct about all this though it will mean those who have invested in the new £18m will now be the owners of FV and those who now have been paid off will no longer be.

It may be seen as FV possibly being taken over, if the new £18m is not from the Swiss, Sharon, Mike James or the Luckocks (or for one or more of them stepping away if they have not) and maybe new investors taking their place if they have.

Having thought about it a bit more since my reply on ww, the £18m does NOT relate to a new owner, or takeover because that would simply involve a new owner buying up over 50% of existing shares. The paying up of existing shares isn't the way to go about a takeover as far as I understand these things.

I might be proved wrong when the details are announced but I think I'm on the right track about it being existing equity being paid up and shared out to existing shareholders and a new £18m investment then coming in (with those being part of the £18m being the revamped owners of FV and those not taking part in the £18m no longer being so).

Fwiw I've just be told that Sharon's house is up for sale... (I've checked and it seems it is - it certainly was shown to be her address as recently as July 2025 - all info in the public domain)

Maybe part of all this is that she feels she's now achieved what she originally set out to do?

No doubt we will find out one way or another in due course.

or maybe she just wants to move house?

I think it might have something to do with paying the bond holders who were guaranteed a return when we got to the premier league.

Not absolutely sure what you are saying here (do you mean Championship rather than the PL?) but yes FV are required to pay circa £500k to bond holders due to the clubs promotion with payment apparently to be paid at the end of September.

The £18m input of equity now will ensure there should be funds available to pay the bond holders but in reality the reason money is being invested before the end of this month, is to allow up to a further £15m to be invested in the clubs financial year starting the 1st July 2026 (under the restrictions of the new Squad Cost Rules (SCR)).

The money now is really about pump priming more than anything to do with the bonus payment for the bond.

Anyone subscribe to BN who can post the Marc Iles article this morning. (Football Ventures)

Football Ventures have done some ‘tidying up’ on the company’s share structure in a move which has got tongues wagging around the town.

Details which landed at Companies House yesterday revealed that the club owners have passed a resolution to reduce share capital – i.e. the total worth of all shares issued so far – which according to a separate filing currently stands at £17,946,440.

The common practice has been made to simplify several years of incremental share issues, which have been necessary to keep the club fully funded.

But many believe it could be a precursor to new investment at board level to help fund the club’s Championship challenge.

It has been stated that more than £60million has been poured into the club at board level since Football Ventures took Bolton out of administration in September 2019, which has been converted into shares in the overall parent company.

According to the most recent data, BMLL Limited have increased their stake over the last 12 months to become the major shareholder at Wanderers with 49.8 per cent, followed by Sharon Brittan (30.1 per cent), Michael James (11 per cent) and Nick Luckock (4.1 per cent).

Despite the change, decision-making at the club has remained exclusively in the hands of the board.

Wanderers have declined to comment on the matter, but it is understood that no money will be injected into - or leave - the business singularly as a result of this decision.

Companies have been known to conduct this sort of housekeeping, however, to make it easier to attract or bring aboard new investors, as clearing up the balance sheet paints a more streamlined and up-to-date picture of its financial state.

In order to reduce share capital, a company must legally also prove its solvency – i.e. its ability to keep trading for the next 12 months.

Though promotion to the Championship brings with it around £10million in TV and central distribution money plus a likely hike in ticket sales, revenue, commercial and prize money, there is also a huge pressure to increase wage and transfer budgets in order to compete.

Sharon Brittan had reasoned in the past that her investors may have to find an extra £20m to keep the club in the division – and perhaps more if it had aspirations to challenge for a place in the Premier League.

Those pressures have remained on the horizon as Wanderers fought to escape League One, succeeding in May after two previous failed attempts at the play-offs.

Fans will now hope that with a few years of planning for life in the second tier that Steven Schumacher’s side can attract the extra quality they will need to continue last season’s momentum.

Meanwhile, Wanderers are opening the doors to the FanZone once again tonight to screen England’s second World Cup group match against Ghana.

More than 550 supporters gathered for the opening game against Croatia and doors will open at 5.30pm for the Portugal v Uzbekistan game.

A £5 ticket secures entry alongside a free beer or soft drink and free parking.

Carrs Pasties are also available to purchase.

To book your ticket visit the main page of the official BWFC website.

Fans can also have their picture taken with the League One play-off trophy by visiting the club shop on Saturday (June 27) between 10am and 3pm.

No booking is necessary.

2 hours ago, wakey said:

Well I guess we will find out when the documents at Companies House finally become available to see., as I don't believe there is anything like £18m of equity in the club unless someone put a chunk of new investment into it if the trading losses for the last two seasons are to be anything like expected.

I also refer you to the fact that the last Statement of Capital following an allotment of shares by FV statement to Companies House in August 2025 shows it to be just short of £12m - how can the capital now be £18m after "being reduced" according to Iles?

Something clearly doesn't add up.
