August 11Aug 11 Remember a few weeks back when I said Companies House had received TWO notifications apparently for the same thing and I wondered if there might have been a duplication - well there wasn't.What seems to have happened is that both the C Shares that Sharon, James, BMLL Ltd and the Luckock brothers and those of EEP Ltd have been converted to normal A Shares as per the notification to Companies House on the 7th August but which actually took place on the 22nd July (the same day EEP purchased their shares.Fwiw there seems to have been an addition error by someone filing the forms to CH in that the form for Sharon et al dated 1st August shows 3,156,094 C Shares issued and the form for EEP dated the 22nd July shows 3,156,094 which totals 9,088,253 but had been stated on the 22nd July as the aggregated total of C Shares as 9,089,043

Some of what I heard was rumours, no need for those 7 years on. The one I heard at the time that was then reported on was changing the price mid discussions, I believe it happened a few times. We'll find out in 6 months when the accounts get published if the cash was in the business before the year end.I didn't actually say that is wasn't.I said the shares were issued in July 2026 and I wouldn't have thought £6.1m was resting in the clubs bank account for six or more weeks.It also begs the question that if the money was in the club before the 30th June, would it not have been better to put it in as equity then rather than this season where there is a maximum £15m share equity that can be invested in one year.I'll pass on your reply to 'Custard', thanks for responding. August 11Aug 11 @Sluffy that’s exactly what happened last year though. Cash sat in the books as a creditor until shares were issued. Sure it said something about fit and proper tests in the accounts. They may have had no choice but to do that again…. We’ll find out in 6 months

We’ll find out in 6 monthsYou may well be right but knowing that happened last year wouldn't you think that FV would have bought £6.1m worth of shares before the 30th June to offset this and allow a full £15m investment for 'football' if the £6.1m is as we are told NOT for football?Of course it depends on whether FV had wanted to (or could at that time) as now FV can only add £9m this season for football if the £6m from EEP is to be spent elsewhere?

Would it therefore count towards SCR?See my post above to DLHAs far as I understand SCR a club can invest up to £15m into equity in a single year.EEP has now invested £6.1m THIS financial year even though the money may (or may not) have been received last financial year (ending 30th June 2026).That means that only another £9m (well £8.9m if you want to be exact) can be invested up to 30th June 2027.If as we have been told that the £6.1m is NOT for the football side of the club then only the remaining £8.9m (if it is put in) will be available for SCR purposes plus the circa £12m to £14m that is estimated to be in the 'pot' for the start of this season (1st July, 2026)Don't forget though if we trade at a loss, that trading loss will have to be funded from this money, and provision for having something in the pot for the start of Years 2, 3 and 4 plus the provision for potential losses in those years plus an amount of £4.5m for when the bond matures.
