C shares don't have voting rights.... so they don't have a say on how the business is run.

Tim Leiweke has joined the board and will have voting rights.....So i guess it is not his money but additional investment.

No he wouldn't.

Board members manage the business and are answerable to the shareholders.

I appreciate he's a shareholder, but if this is the American investment, then he doesn't have shareholder voting rights even though he's on the board.

They are not new, when I had a business it was in partnership with a bloke and we had different class of shares.

For us it meant I could draw down dividends when I wanted rather than having to both agree at the same time. He set the business up and owned 51%

The way we did it was unusual as the norm is that they do not have voting rights which is I assume what Bolton will have done. Google explanation below ;

No Voting Power: Most large public corporations issue Class C shares to raise market capital without diluting the voting control of founders or insiders.

Pretty sure the C Shares do have voting rights on the latest amendment (19/8/25) to the Articles of Association.

"C Shares: means a C ordinary share of £1 in the capital of the Company designated as a C Share."

They also have additional rights on a return of capital (liquidation, capital reduction, sale or listing) set out in Para 12.3.

I'm sure an expert will be along shortly to explain and put all this in context of what it means for the budget.

No, you're correct, usually they don't come with voting rights.

Anyway I agree with most that has been said namely c shares to the value of £5.1m have been issued

These shares DO include voting rights (and dividends)

C Shares issues are NOT new for FV the last allocation on 1st August 2025 was also for C Shares and included voting rights and dividends (these shares were bought by Sharon, James, both the Luckock brothers and BMLL Ltd)

HOWEVER as been mentioned the thing with these C Shares is that on return of capital (say when someone takes over the company) the holders of the C Shares not only are the first in line to be paid, they are also get 2.2 times their money back (so they put in £5.1m and if FV is sold tomorrow they will get £11.22m back!

(Not bad for a days work).

Maybe EEP are here acting as the middleman to sell FV to some person or company who can take us on to the next level?

Who knows but they are here for some reason, that's for certain, and sticking an extra £5.1m in the pot is not going to suddenly turn us into title contenders, is it?
